Introduction & acceptance

These Terms of Use & Service Terms (“Terms”) govern your access to the Pathform website and your interaction with Pathform services operated by MISMUSE TEXTILES PTY LTD (ABN 49 678 567 069) (“Mismuse”, “we”, “us”).

By accessing this website, purchasing a Pathform service package (where offered), submitting the Pathform Project Intake, requesting a quote, engaging our services, or otherwise dealing with Pathform, you agree to these Terms. If you do not agree, do not use the website or submit materials.

These Terms provide a general framework for website use and services. Specific project scope, fees, deliverables, timelines, and intellectual property arrangements for paid work are confirmed only in a quotation, proposal, scope of work, invoice, or other written confirmation accepted by you, or as otherwise stated in a separate written agreement.

About Pathform

Pathform is Mismuse’s concept-to-garment development line for apparel projects. Pathform provides professional garment-development services, including assessment of concept-stage ideas and, where agreed, work such as pattern development, sampling, technical documentation, and production-related scope review.

Pathform is operated from Australia by MISMUSE TEXTILES PTY LTD. Pathform is not a generic AI fashion tool, custom clothing marketplace, factory introduction broker, or creative agency producing visuals only. Services depend on garment type, complexity, materials, and confirmed scope.

Pathform service packages described on this website (such as Concept Translation Entry, Technical Translation Advanced, Prototype Development, and One-of-One Garment Realization) describe defined service scope and complexity options—they are not automatic outcomes for every concept. Each paid service package includes a Draftpath Feasibility Brief as Stage 1. Formal small-batch or bulk production is handled separately through business quotation, agreement, and bank payment, not through Shopify service packages.

Website use

You may use this website for lawful purposes related to learning about Pathform and submitting or following up on enquiries.

You must not:

  • Misuse the website or attempt to interfere with its operation or security;
  • Submit unlawful, misleading, infringing, or harmful content;
  • Impersonate another person or misrepresent your authority to submit materials; or
  • Use the website in any way that could reasonably harm Mismuse, Pathform, other users, or third parties.

We may restrict access where we reasonably believe misuse has occurred.

Information on this website is provided for general orientation. It may change without notice. Website content does not by itself create a binding service contract or confirmed scope for your project.

How services are engaged

A Pathform service engagement is formed only when:

  • Mismuse or Pathform issues a quotation, proposal, scope of work, invoice, or written confirmation describing the applicable services; and
  • You accept that document in writing (including by email confirmation) or by making a required payment stated in that document,

unless otherwise expressly agreed in writing.

Browsing this website, purchasing a Pathform service package, submitting the Pathform Project Intake, or contacting us does not by itself create a binding agreement to perform paid development work beyond the scope expressly included in the purchased package and any later written confirmation.

Services, pathways & scope

Pathform services are organized around service packages and garment-development scope, including concept translation, technical translation, prototype development, and one-of-one garment realization, as described on this website.

Scope is limited to what is expressly described in the relevant service package, quote, proposal, scope document, or written confirmation for your project. Services not described in that document are not included unless later agreed in writing.

Scope, pricing, timelines, and deliverables are not fixed for all projects by website content alone. They must be confirmed for your specific project after review and discussion.

Not all concepts are suitable for all services. We assess feasibility, development fit, and capacity before agreeing to proceed.

Service packages & Pathform Project Intake

Pathform service packages may be purchased through Shopify (or as otherwise described on this website). Customers select a service package and complexity band before submitting project materials.

After purchase, customers submit materials through the Pathform Project Intake form (currently an external Tally form linked from this website), including the Shopify order number and related purchase details. By submitting through that process, you allow us to review the information and materials you provide for assessment and administration of the purchased package.

Each paid Pathform service package includes a Draftpath Feasibility Brief as Stage 1. The Draftpath Feasibility Brief is not a separate standalone customer-facing product.

Important:

  • Purchase and intake submission do not guarantee project acceptance beyond the purchased package scope;
  • Submission does not automatically start work beyond what is included in the purchased package;
  • We assess your materials against the purchased package scope and selected complexity band and respond with next steps, which may include a request for more information, a recommended adjustment, a Pathform Service Supplement where applicable, or a decision not to proceed in the current form.

If a submitted concept exceeds the selected complexity band, requires premium materials, or needs work beyond included scope, Pathform may recommend simplification, upgrade, or a Pathform Service Supplement before later stages continue. Further development work beyond the purchased package proceeds only after scope and service terms are confirmed as described in Section 4 or in a later written confirmation.

Client responsibilities

You are responsible for:

  • Providing timely, accurate, and complete information reasonably required for review and service delivery;
  • Ensuring you have the right and permission to submit your materials;
  • Responding to reasonable requests for clarification, approvals, or decisions within a reasonable time; and
  • Reviewing quotes, scope documents, and approvals carefully before accepting them.

If you delay providing information, approvals, or responses, the project may be paused. Reactivation may require revised timing, revised scope, or additional fees, as communicated to you.

You must not submit materials you do not have permission to share, and you must not submit content that is unlawful or that you know infringes another party’s rights.

AI-generated content, references & intellectual property submissions

Concept-stage input

You may submit AI-generated visuals, reference garments, mood images, sketches, and similar materials as concept-stage input. Pathform may accept these materials for assessment and development interpretation.

Not automatically development-ready

AI-generated content and reference images are not treated as complete, accurate, or factory-ready specifications. They require professional garment-development interpretation. Pathform does not warrant that an AI image can be reproduced exactly as shown in physical garment form.

Your responsibilities

You are responsible for ensuring that materials you submit are lawful and that you have appropriate rights or permission to submit and use them for development review and any agreed services.

If your materials include third-party references, trademarks, copyrighted works, or another party’s designs, you are responsible for ensuring your use is permitted for the purpose you request.

Clarification and refusal

Pathform may ask you to clarify the origin, authorship, or authorization of submitted materials. We may decline, pause, or request changes to a submission where there is legal uncertainty, potential infringement risk, or inadequate permission.

No legal or IP clearance on acceptance

Pathform’s acceptance of a submission for review, or a recommendation to proceed toward a pathway, does not constitute legal advice or confirmation that your materials are free of third-party intellectual property claims. You remain responsible for the lawfulness of your materials and for securing any rights you need for your project.

Fees, quotes, payment & future checkout

Fees and currency

Fees are described in the applicable quote, proposal, invoice, or written confirmation. Unless otherwise stated, fees are quoted in Australian dollars (AUD).

Payment

Unless otherwise stated, fees are payable according to the payment terms in the relevant quote or invoice. This may include deposits, milestone payments, or payment before release of certain deliverables.

Deposits and milestone payments may be non-refundable once the relevant work has commenced, except where a non-excludable right applies under the Australian Consumer Law or other mandatory law.

Quote validity

Unless otherwise stated in writing, quotations are valid for 14 days from the date issued.

No automatic obligation

Purchasing a Pathform service package, submitting the Pathform Project Intake, contacting us, or receiving an assessment does not by itself create a payment obligation or commence work beyond the purchased package scope, except as described at purchase or in a written confirmation.

Shopify service packages

Certain Pathform service packages may be purchased through Shopify or similar e-commerce platforms operated by Mismuse. Package scope, complexity band, and pricing are as described at the time of purchase.

A Pathform Service Supplement may be used where Pathform requests additional payment for confirmed scope additions, premium materials, extra revision, complexity adjustments, or similar additions beyond the originally purchased package scope.

Timelines, revisions & approvals

Indicative timelines

Any timelines discussed or shown on the website are indicative unless a specific date or schedule is expressly confirmed in writing for your project.

Delays may occur due to clarification needs, sampling rounds, material decisions, your response times, or factors outside our reasonable control.

Revisions and scope changes

Major changes to concept, construction, materials, or scope after a quote or scope document is issued may require re-quotation, revised fees, and revised timelines.

Where you request changes after approving a defined milestone, sample direction, or deliverable, additional fees and time may apply.

Client approvals

You are responsible for reviewing and approving key decisions, samples, or documents where your approval is requested. Failure to approve or respond within a reasonable time may delay the project and may affect fees and timing as communicated to you.

Cancellation, refunds & Australian Consumer Law

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any non-excludable rights you may have under the Australian Consumer Law or other mandatory consumer protection law.

If a service is not provided with due care and skill, or is not fit for a disclosed purpose in circumstances covered by mandatory law, you may be entitled to remedies under the Australian Consumer Law. We will address such matters in accordance with applicable law.

Change of mind

A change of mind, or a decision not to proceed after receiving an assessment, does not automatically entitle you to a refund of fees already paid for work that has been performed or commenced, except where a non-excludable right applies.

Service package purchases

Fees paid for a Pathform service package are generally subject to the refund position described at purchase and in any written confirmation. Once work included in the purchased package has commenced—including the Draftpath Feasibility Brief—fees are generally not refundable, except where a non-excludable right applies or we agree otherwise in writing.

Translation pathway

Fees for Translation (or translation-related) services that relate to work already performed—such as feasibility assessment, pattern development, technical documentation, or other earned deliverables—are generally non-refundable, except where a non-excludable right applies or we agree otherwise in writing.

Prototype pathway

Refunds for Prototype (or sample-related) services depend on work completed and costs already incurred, including materials, sampling, and development time. If work has progressed to physical sampling or substantial development, a full refund may not be available.

Launch & production pathway

For Launch & Production (or production planning) services arranged outside Shopify service packages, cancellation may result in a partial refund or no refund depending on the stage reached and costs already incurred, including third-party or material commitments reasonably made on your project.

Formal small-batch or bulk production is not sold through Shopify service packages. It is handled separately through business quotation, agreement, and bank payment after technical confirmation where appropriate.

Client delay or non-response

If you delay providing information, approvals, or payment, we may pause the project. Resuming work may require reactivation fees, revised timing, or revised scope, as we communicate to you.

How to request cancellation or discuss refunds

Contact service@mismuse.com with your name, project reference, and invoice or quote details. We will respond reasonably and in line with these Terms and applicable law.

Intellectual property, work product & confidentiality

Your submitted materials

You retain ownership of concept materials you submit, subject to any third-party rights embedded in those materials. By submitting materials, you grant Mismuse a practical right to use them for the purposes of review, assessment, communication, scoping, and performing agreed services.

Mismuse pre-existing materials

Mismuse’s methods, know-how, internal systems, templates, branding, and pre-existing materials remain Mismuse property. Nothing in these Terms transfers ownership of those materials to you.

Project-specific work product

Rights to project-specific output—such as pattern files, technical documents, samples, or development records created for your project—are governed by the applicable quote, proposal, scope document, or separate written agreement.

Unless otherwise expressly agreed in writing, no licence or transfer of rights to project-specific work product is granted until applicable fees are paid in full for that work product or stage, as stated in the relevant quote or invoice.

Confidentiality

Each party should treat reasonable confidential information received from the other in connection with a project with care and use it only for the purposes of that project, subject to any stricter confidentiality terms in a written agreement.

Confidentiality obligations do not prevent disclosure where required by law or with your consent.

Communication channels

Email is the primary channel for formal communication, business enquiries, quotes, and document-related correspondence.

WhatsApp is available for quick coordination and follow-up where published on our Contact page. WhatsApp is not the preferred channel for new project material submission unless we specifically ask you to use it for a defined purpose.

The Pathform Project Intake form (linked from this website) is used after purchase of a Pathform service package to submit project materials and order details. It is not the first step before purchase.

We do not currently offer a client account portal or real-time project dashboard on this website.

Suspension, termination & refusal of service

We may pause, decline, or terminate services or refuse further engagement where reasonably necessary, including if:

  • Payment is overdue;
  • You fail to provide information, materials, or approvals reasonably required;
  • There are intellectual property concerns or inadequate permission for submitted materials;
  • There is a material misalignment between your requests and agreed scope;
  • You engage in abusive, misleading, or unreasonable conduct toward our team; or
  • We are unable to proceed for operational, legal, or safety reasons.

Where work is terminated after commencement, fees for work already performed and costs already incurred may remain payable in accordance with your quote, invoice, and these Terms, subject to the Australian Consumer Law.

Disclaimer

Pathform provides professional garment-development services based on information and materials you supply. Development involves judgment in apparel design, pattern making, construction, materials, and production planning.

To the extent permitted by law:

  • We do not guarantee that every concept can be produced as imagined;
  • Assessments and recommendations are professional judgments at a point in time, not guarantees of outcome; and
  • You remain responsible for decisions you make and for third parties you engage beyond agreed Mismuse scope.

Website content is for orientation. It does not constitute legal, financial, or engineering advice.

Limitation of liability

To the extent permitted by law:

  • MISMUSE TEXTILES PTY LTD is not liable for indirect or consequential loss (including lost profit, lost opportunity, or business interruption) arising from or in connection with use of this website or Pathform services, except where liability cannot be excluded by law; and
  • Where we supply services to you as a consumer under the Australian Consumer Law, our liability for failure to comply with a consumer guarantee is limited, where permitted by law, to resupply of the services or payment of the cost of having the services supplied again.

Nothing in these Terms limits or excludes any liability that cannot be lawfully excluded, including non-excludable rights and remedies under the Australian Consumer Law.

Except for liability that cannot be excluded, our total liability arising from a specific agreed service is limited to the fees paid by you for that service under the relevant quote or invoice, unless a different limit is expressly stated in writing for that project.

Third-party tools

Your use of third-party tools is subject to their own terms and policies, including:

  • Tally (Pathform Project Intake);
  • WhatsApp (messaging);
  • Email and internet service providers; and
  • Shopify (service package purchases and related checkout).

We are not responsible for third-party outages, policy changes, or acts outside our reasonable control.

Governing law

These Terms are governed by the laws of Australia. You submit to the non-exclusive jurisdiction of the courts of Australia for disputes arising from or relating to these Terms or use of this website, subject to any non-excludable rights or remedies that apply to you under mandatory law.

Changes to these terms

We may update these Terms from time to time. The current version will be posted on this website with an updated effective date.

Continued use of the website after changes are posted may constitute acceptance of the updated Terms to the extent permitted by law. For active projects, material changes will be communicated through direct correspondence where appropriate.
